Your Mission
Colas Canada Inc. is currently working at building a solid and thorough legal support for its head office based out of Toronto, Canada. The head office provides support to subsidiaries located and operating in different provinces and territories locally managed and supported by local in-house counsels. Colas Canada Inc. Legal and Compliance Department oversees the legal support provided at the subsidiaries level. This role will support the current legal team and participate actively in the organization of an efficient and interactive database regarding namely corporate records, insurance renewal processes and Ethics.
Main Responsibilities
- Supporting the legal and compliance departments in relation to their corporate, reporting and transactional work including but not limited to:
- Managing and maintaining corporate books and records (including ensuring that all books are available in electronic format and that information is updated on the parent company’s database);
- Completing corporate reports and filings with provincial & federal regulatory authorities;
- Conducting corporate research and updating governmental registries;
- Organize interactive database;
- Prepare meetings, committees and board of directors (meeting notices, agendas, resolutions, minutes, etc.);
- Preparations of resolutions and power of attorneys as instructed;
- Manage and maintain databases of sample contracts and forms;
- Assist in maintaining databases regarding documentation of compliance with different internal processes (and provide support to subsidiaries regarding same);
- Create reports for attorneys based on case specifications and attorney requests;
- Develop a case file indexing system that can be used as an active archive for all ongoing and completed files;
- Monitor changes to government guidelines or regulations and submit reports on pertinent changes;
- Comfortably communicate with internal and external parties to obtain requisite information to perform responsibilities;
- Provide assistance to legal and compliance department regarding the reporting to the parent company;
- Assist lawyer in ethics and compliance training and subsidiary compliance.
Your profile
- Successful completion of an accredited Law Clerk Program and related corporate law;
- Four (4) to six (6) years of experience in a law firm and/or in-house (in-house experience is not required) as a corporate law clerk with responsibilities including organizing and working with corporate books and records;
- Strong knowledge of corporate governance and commercial law;
- Excellent attention to detail and accuracy and time-management skills;
- Effective written and verbal communication and organization abilities;
- Strong report-generating skills;
- Proficiency computer skills including Word, Excel software and ability to quickly adapt to newly implemented softwares;
- Ability and preference to work with an in-house legal team with a focus on collaboration, communication and efficiency;
- Interpersonal skills required to interact with both the business, internal and external legal groups and to partner with others;
- Willingness to participate actively in the implementation of most efficient interactive processes taking into consideration the need to facilitate access and communication while increasing accuracy;
- Comfortable working within fast-paced environment;
- Willingness to take initiatives to find and propose solutions to problems;
- A sustained interest and dedication in understanding the business;
- Ability to engage at a granular level on matters requiring long-term focus;
- Ability to think tactically while placing the needs of irreproachable corporate filings and regulatory matters at the art of companies capacity to operate;
- Patience and perseverance to work through complexity.
Considered assets
- Bilingual French and English given our relationships our mother company Colas SA France and our operation in Quebec;
- Experience with commercial and\or real estate transactions.
